Uncover Prague — Terms and Conditions

1. General Provisions

These terms and conditions (hereinafter referred to as the "Terms and Conditions") govern the relationship between the operator of the Uncover Prague service (hereinafter referred to as the "Operator") and the user of the service (hereinafter referred to as the "Member").

By registering and purchasing a membership, the Member confirms that they have read these Terms and Conditions, understand them, and agree to their content.

These Terms and Conditions apply to consumer contracts concluded at a distance within the meaning of Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights. A "consumer" means any natural person who, in contracts concluded with the Operator, is not acting within the scope of their business or professional activity.

2. Scope of Service

Uncover Prague is a private members' club that provides digital membership entitling the Member to benefits, events, and partner venues in Prague and other locations.

Membership does not guarantee free products or services from partners — it provides access to exclusive benefits, privileges, and events reserved for members only.

The digital content provided as part of the membership includes in particular: (i) access to the member app, (ii) a digital membership card, (iii) information about benefits and events, (iv) other digital services provided within the membership.

3. Registration and Activation of Membership

Membership is established upon payment of the selected plan (monthly or annual).

After successful payment, the Member receives access to the member app, where their digital card and benefits are activated.

The Operator reserves the right to limit the number of members or reject a membership application without giving reasons, in order to maintain the exclusive character of the club.

4. Pricing, Payments and Automatic Renewal

All prices are stated in euros (EUR).

Payments are processed through the secure Stripe payment gateway.

Membership is paid in advance for the selected period (monthly or annual).

By purchasing a membership, the Member agrees to recurring payments and that the membership is automatically renewed unless cancelled before the end of the current period.

Automatic renewal is processed using the same payment method used for the initial payment.

The Member may cancel the automatic renewal at any time via the member app or by written request to the support email address hello@uncover.cz. Cancellation of automatic renewal must be made no later than 5 working days before the end of the current billing period. After cancellation of automatic renewal, the membership remains active until the end of the already paid period.

5. Right of Withdrawal

5.1 The consumer has the right to withdraw from this contract without giving any reason within 14 days.

The withdrawal period expires 14 days after the day of the conclusion of the contract.

To exercise the right of withdrawal, the consumer must inform the Operator of their decision to withdraw from the contract by an unequivocal statement (e.g. by electronic mail). The consumer may use the attached model withdrawal form, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for the consumer to send the notification of withdrawal before the withdrawal period has expired.

5.2 Effects of Withdrawal

If the consumer withdraws from the contract, the Operator shall reimburse to the consumer all payments received from the consumer, including costs of delivery, without undue delay and in any event no later than 14 days from the day on which the Operator is informed of the consumer's decision to withdraw from the contract. The Operator shall carry out such reimbursement using the same means of payment as the consumer used for the initial transaction, unless the consumer has expressly agreed otherwise. In any event, the consumer shall not incur any additional costs as a result of such reimbursement.

If the consumer withdraws from the contract after having requested the Operator to begin the performance of the contract during the withdrawal period, the consumer shall pay to the Operator a proportionate amount corresponding to the part of the performance already provided up to the date on which the consumer informed the Operator of the exercise of the right of withdrawal.

5.3 Exception to the Right of Withdrawal

The right of withdrawal shall cease to apply where the subject of the contract is the supply of digital content not supplied on a tangible medium, and the Operator has supplied the digital content before the expiry of the withdrawal period, and the consumer (i) has expressly consented to the beginning of the performance before the end of the withdrawal period, (ii) has acknowledged that they will lose their right of withdrawal once performance has begun, and (iii) the Operator has provided the consumer with a confirmation of the contract on a durable medium including such consent.

5.5 Alternative Dispute Resolution

If a dispute arises between the Operator and a consumer that cannot be resolved directly, the consumer may use alternative dispute resolution (ADR). The ADR body responsible for consumer disputes in the Operator's Member State (Czech Republic) is the Czech Trade Inspection Authority (Česká obchodní inspekce), with its registered office at Štěpánská 567/15, 120 00 Prague 2, website: https://www.coi.cz.

ADR proceedings are initiated upon the consumer's request. The request may be submitted electronically via the online form available on the Czech Trade Inspection Authority's website (https://adr.coi.cz/cs). The consumer may also submit the request in writing to the address of the Czech Trade Inspection Authority, Štěpánská 567/15, 120 00 Prague 2.

ADR is free of charge for consumers. Further information on ADR is available on the Czech Trade Inspection Authority's website (https://www.coi.cz).

Consumers residing in other EU Member States may also use the European ODR platform, available at https://ec.europa.eu/consumers/odr, to submit a complaint regarding online purchases.

6. Rights and Obligations of the Member

The Member undertakes to:

  • use the membership for personal purposes only,
  • act in accordance with the club etiquette and the policies of partner venues,
  • not to misuse benefits or internal information obtained through the membership.

The Operator is entitled to suspend or terminate the membership without entitlement to a refund if the Member breaches these principles or damages the reputation of the club.

7. Rights in Case of Defective Performance

7.1 Liability for Defects in Digital Content

The Operator is liable to the Member that the digital content is free from defects at the time it is made available. Defective digital content includes in particular digital content that:

  • does not conform to the agreed description and scope, as well as to quality, functionality, compatibility, interoperability and other agreed characteristics,
  • is not fit for the particular purpose intended by the Member and accepted by the Operator,
  • is not provided with the agreed accessories and instructions for use, including installation instructions, and user support.

The Operator is further liable that, in addition to the agreed characteristics, the digital content:

  • is fit for the purposes for which digital content of the same type is usually used,
  • corresponds in scope, quality and other performance parameters, including functionality, compatibility, accessibility, continuity and security, to the usual characteristics of digital content of the same type that the Member can reasonably expect,
  • is provided with accessories and instructions for use that the Member can reasonably expect.

7.2 Rights in Case of Defective Performance

If the digital content is defective, the Member may request:

  • free remediation of the defect, or
  • a reasonable price reduction, or
  • withdrawal from the contract in case of a substantial breach of contract.

The Member may file a complaint by email at hello@uncover.cz or via the member app. The Operator shall handle the complaint within a reasonable time, taking into account the nature of the digital content and the purpose for which the Member requested it, and shall inform the Member of the outcome.

8. Data Protection

The Operator processes the personal data of members in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation, GDPR).

Personal data is used exclusively for the purposes of providing the service, managing membership, and communicating with members.

The Operator uses only trusted processors, such as Stripe (payments), Meta / Google (analytics and advertising), and other verified services.

9. Changes to the Service and Terms and Conditions

The Operator reserves the right to modify at any time the scope of the services provided, the list of partners, the amount of the membership fee, or these Terms and Conditions.

Members will be notified in advance of material changes by email or via a notification in the member app at least 30 days before the changes take effect.

If the Member does not agree with the changes, they may terminate their membership before the new version of the Terms and Conditions takes effect. In such case, the Member is entitled to a pro-rata refund of the paid price for the remaining membership period.

10. Liability and Member Conduct

The Operator is not liable for the actions of individual members or third parties during events, meetings, or the use of services, including so-called Member Dinners.

The Member acknowledges that participation in events, reservations, or meetings is at their own risk. The Operator does not guarantee compatibility, behaviour, or conduct of other participants.

The Member undertakes to behave politely, considerately, and in accordance with generally recognised rules of social conduct towards other members, partners, and third parties.

The following shall be considered inappropriate behaviour in particular:

  • inappropriate, offensive, harassing, or aggressive behaviour,
  • breach of the rules of partner venues,
  • misuse of membership or benefits,
  • any conduct damaging the good name of Uncover Prague.

In the event of a breach of these rules, the Operator is entitled, at its discretion, to:

  • issue a warning to the member,
  • temporarily restrict access to the service,
  • or terminate the membership immediately without entitlement to a refund.

The Operator reserves the right to assess individual cases on a case-by-case basis.

Complaints Policy

1. Introductory Provisions

This Complaints Policy regulates the handling of complaints relating to the services provided by the Operator as part of the Uncover Prague membership.

Operator: Prague Uncovered s.r.o., Company ID (IČO): 24562947, registered office: Korunní 2569/108, Vinohrady, 10100 Praha 10, Czech Republic.

2. Filing a Complaint

The Member may file a complaint:

  • by email to hello@uncover.cz,
  • or via the member app.

The complaint must contain the Member's identification details, a description of the defect complained of, and a proposal for the method of resolution.

3. Receipt of Complaint

The Operator is obliged to accept a complaint at any establishment where complaints can be accepted given the range of services provided, or at its registered office.

Upon filing a complaint, the Operator shall issue to the Member a written confirmation stating:

  • the date on which the Member filed the complaint,
  • the subject matter of the complaint,
  • the method of resolution requested by the Member,
  • the Member's contact details for the purpose of providing information on the resolution.

4. Time Limit for Resolution

The complaint, including the remediation of the defect, must be resolved and the Member must be informed within a reasonable time, taking into account the nature of the digital content or digital content service and the purpose for which the Member requested it.

If the time limit for resolution expires without result, the Member may withdraw from the contract or request a reasonable price reduction.

5. Method of Resolution

The Operator shall resolve the complaint by:

  • reaching an agreement with the Member,
  • remedying the defect,
  • replacing the digital content with defect-free content,
  • granting a reasonable price reduction,
  • or refunding the paid price and withdrawing from the contract.

The Operator is obliged to issue to the Member a confirmation of the date and method of resolution, including confirmation of the repair and its duration, or a written justification for the rejection of the complaint.

6. Refunds

Refunds are possible in the cases stipulated by these Terms and Conditions, in particular upon withdrawal from the contract within the statutory period or in the case of a justified complaint.

By purchasing a membership, the Member acknowledges that the membership is activated immediately upon payment. If the Member withdraws from the contract after the performance has begun before the expiry of the withdrawal period, the Member is obliged to pay the Operator a proportionate amount corresponding to the part of the performance already provided.

Privacy Policy

1. Purpose of Processing

The Operator of the Uncover Prague service (Prague Uncovered s.r.o., Company ID (IČO): 24562947, registered office: Korunní 2569/108, Vinohrady, 10100 Praha 10, Czech Republic) processes personal data to the extent necessary for:

  • registration and management of membership,
  • processing of payments via Stripe,
  • communication with members and sending service-related information,
  • handling of complaints,
  • alternative dispute resolution,
  • fulfilment of legal obligations.

2. Data Processed

  • email address and name (provided upon registration),
  • billing details (if provided),
  • payment details (processed by Stripe; the Operator has no access to them),
  • technical data (IP address, cookies, analytics),
  • service usage data (activity history, features used).

3. Sharing of Data

Data is shared only with trusted processors:

  • Stripe Payments Europe Ltd. — payment processing,
  • Meta Platforms, Inc. / Google LLC — analytics and advertising,
  • email communication and management tools (e.g. newsletters),
  • hosting and cloud service providers.

The Operator never sells personal data to third parties. Data may be transferred to public authorities in cases stipulated by law.

4. Retention Period

Data is retained for the duration of the membership and for up to 3 years after its termination, unless otherwise required by law. After this period, the data is anonymised or deleted.

Data necessary for the fulfilment of legal obligations may be retained for the period stipulated by the relevant legal provisions.

5. Member's Rights

The Member has the right at any time to request:

  • access to their personal data,
  • rectification of inaccurate data,
  • erasure of their data,
  • restriction of processing,
  • data portability,
  • objection to processing,

The Member has the right to lodge a complaint with the Office for Personal Data Protection of the Czech Republic (www.uoou.cz) or with the competent data protection supervisory authority in their EU Member State of residence.

6. Security

All data transmissions are encrypted (HTTPS). The Operator has implemented technical and organisational measures necessary to ensure the security of personal data, in particular against unauthorised access, processing, or destruction.
